These Terms and Conditions for Peer-to-Peer Merchants, referred to as the “P2P Merchant Agreement,” constitute an agreement between you and WEEX and govern your access to and use of WEEX services as a Merchant. In this P2P Merchant Agreement, “WEEX,” “we,” “us,” and “our” refer to WEEX and its affiliates.
This P2P Merchant Agreement forms an integral part of the WEEX P2P Terms and Conditions, referred to as the “P2P Terms,” and the WEEX Terms of Use.
By participating in P2P transactions on the WEEX Platform and registering or continuing to act as a Merchant, you confirm that you have read, understood, and accepted this P2P Merchant Agreement, the P2P Terms, the WEEX Terms of Use, WEEX’s Risk Warning Statement, and other applicable terms, policies, rules, statements, and announcements issued by WEEX.
The WEEX P2P Merchant Violations and Enforcement Policy forms an integral part of this P2P Merchant Agreement. The P2P Merchant Violations and Enforcement Policy sets out the categories of Merchant violations, assessment standards, and enforcement measures applicable to first, repeated, serious, and critical violations.
By applying to become, registering as, or continuing to act as a Merchant, you acknowledge that you have read, understood, and agreed to comply with the WEEX P2P Merchant Violations and Enforcement Policy and any other applicable P2P rules published by WEEX from time to time.
Where a Merchant commits or is suspected of committing a violation, WEEX may take action in accordance with this P2P Merchant Agreement and the WEEX P2P Merchant Violations and Enforcement Policy. In the event of any inconsistency between the two documents, this P2P Merchant Agreement shall prevail unless expressly stated otherwise.
In the event of any conflict, discrepancy, or inconsistency between this P2P Merchant Agreement and other applicable WEEX terms, this P2P Merchant Agreement shall prevail in relation to the Merchant Services and P2P Services to the extent of that conflict, discrepancy, or inconsistency.
If you do not fully understand or agree to any part of this P2P Merchant Agreement, you must not register as a Merchant or use the Merchant Services.
This version of the P2P Merchant Agreement shall take effect on the date specified above and shall supersede all prior versions. WEEX may amend this P2P Merchant Agreement from time to time by publishing or otherwise notifying you of the amended version through the WEEX website, Platform, registered email address, Account notification, or another agreed communication method.
Definitions and Interpretation
(a) Merchant
“Merchant” or “Merchants” refers to a verified and approved User on WEEX who provides liquidity and processes P2P orders, including orders involving the purchase or sale of Digital Assets or fiat currency.
(b) Merchant Services
“Merchant Services” refers to the services, functions, tools, applications, programs, websites, software, features, and other products or services provided by WEEX to support a Merchant’s activities on the Platform.
Merchant Services may include access to advertisement functions, transaction management tools, exchange and transfer services, Merchant dashboards, promotional programs, customer support, and other Merchant-related functions made available by WEEX.
(c) Malicious Price Adjustment
“Malicious Price Adjustment” means setting, displaying, changing, or executing an advertisement price without genuine trading intent or reasonable market justification for the purpose of misleading Users, obtaining improper advertisement exposure, avoiding the performance of an order, interfering with other Merchants, manipulating the market, or disrupting the normal order of the P2P market.
Changes to the P2P Merchant Agreement
(a) Agreement updates
WEEX is continually developing and improving the Merchant Services. WEEX may update, revise, supplement, or otherwise modify this P2P Merchant Agreement at any time and for any reason.
The updated version will become effective when it is published on the WEEX website or Platform, unless another effective date is specified in the updated version.
By continuing to access or use the Merchant Services after the updated P2P Merchant Agreement becomes effective, you acknowledge and accept the amended terms.
If you do not agree with an amendment, you must stop accessing and using the Merchant Services and may apply to terminate your Merchant status in accordance with this P2P Merchant Agreement.
(b) Product and service updates
You acknowledge that WEEX may introduce new Merchant products, services, requirements, functions, or benefits and may modify, upgrade, suspend, or discontinue existing Merchant products or services.
Specific updates may be announced through the WEEX website, Platform, Account notifications, registered email address, or other communication channels.
Role of a Merchant
(a) Liquidity provider
A Merchant is a verified participant who provides liquidity on the WEEX P2P Platform. Compared with regular Users, Merchants may be expected to:
- Publish and maintain buy and sell advertisements;
- Maintain sufficient trading capacity to meet reasonable market demand;
- Offer competitive and genuine prices and reasonable transaction terms; and
- Complete orders quickly, reliably, and professionally in accordance with WEEX’s service standards.
(b) Platform participation
Merchants are important participants in the WEEX P2P market and may receive increased advertisement visibility, Merchant badges, additional transaction functions, promotional opportunities, or other benefits determined by WEEX.
Such benefits are not guaranteed and may be adjusted, restricted, suspended, or withdrawn by WEEX based on Platform requirements, market conditions, the Merchant’s performance, or compliance status.
(c) Order processing
Merchants must review and process applicable P2P orders within the prescribed period and must conduct reasonable verification before making payment, confirming receipt of payment, or releasing Digital Assets.
Registration as a Merchant
(a) Registration and verification
To register as a Merchant, you may be required to submit documentation and information beyond that required for registration as a regular User.
Such information may include:
- Your telephone number and communication accounts;
- Proof of income, revenue, source of funds, or business activities;
- Your trading history on WEEX or other P2P or OTC platforms;
- Proof of Merchant or equivalent status on other platforms;
- Trading volume, completion rate, appeal rate, feedback score, and other performance data;
- Information regarding your risk-control measures;
- Information relating to your Payment Methods and transaction accounts; and
- Other information or documentation reasonably required by WEEX or applicable law.
You represent and warrant that all information and documentation submitted during the application and verification process is complete, accurate, authentic, current, and not misleading.
(b) Security Deposit
As part of the Merchant registration process, WEEX may lock a specified amount of Digital Assets in your Account as a security deposit.
The Security Deposit may remain unavailable for withdrawal or transfer for as long as you maintain Merchant status or while any order, appeal, complaint, chargeback, investigation, liability, or other unresolved matter remains outstanding.
Where WEEX determines that you are liable for losses, compensation, chargebacks, claims, penalties, investigation costs, or other amounts arising from your Merchant activities, WEEX may apply part or all of the Security Deposit toward those amounts in accordance with this P2P Merchant Agreement and applicable law.
The use, retention, deduction, or application of the Security Deposit does not limit or discharge any further liability you may owe to WEEX, Users, or third parties.
WEEX may retain or deduct from the Security Deposit in connection with unresolved disputes, regulatory concerns, chargebacks, risk investigations, or confirmed violations, subject to applicable law and Platform rules.
(c) Merchant badge
Following successful registration, WEEX may display a Merchant badge or other identification on your Account to distinguish you from Users who have not completed Merchant registration.
(d) Advertisement functions
After becoming an approved Merchant, you may be permitted to publish buy and sell advertisements and use other Merchant functions made available by WEEX.
(e) Cancellation of Merchant status
You may apply to cancel your Merchant status.
WEEX may approve the cancellation and release the applicable Security Deposit after determining that there are no unresolved orders, appeals, complaints, chargebacks, investigations, liabilities, negative records, or other matters requiring continued retention of the Security Deposit.
(f) Advertising content
You must ensure that all content, materials, information, representations, and claims used in advertisements or promotions are accurate, lawful, complete, not misleading, and compliant with applicable Platform policies.
WEEX may require amendments to, reject, suspend, or remove advertising or promotional content that it considers inappropriate, unlawful, inaccurate, misleading, or otherwise non-compliant.
(g) Merchant benefits
Depending on the applicable market and Merchant category, Merchant benefits may include:
- The ability to publish buy and sell advertisements;
- Access to Merchant dashboard and advertisement management functions;
- Increased advertisement or transaction limits;
- Priority advertisement placement or increased visibility;
- Eligibility for selected Merchant campaigns and incentives;
- Access to Merchant support services; and
- Other Merchant-specific tools or benefits determined by WEEX.
Merchant benefits, limits, and eligibility requirements may vary by country, region, fiat market, Merchant category, risk level, performance, and other criteria determined by WEEX.
Merchant Conduct and Responsibility
(a) Merchant activities
Merchants primarily interact with Users by:
- Providing liquidity for P2P buy and sell orders;
- Providing reliable, timely, and professional transaction services;
- Attracting Users through competitive prices, reasonable terms, and a positive trading record; and
- Acting as counterparties to P2P transactions initiated through the Platform.
(b) General conduct obligations
By using the WEEX P2P service as a Merchant, you agree to:
- Act honestly, professionally, and in good faith at all times;
- Treat Users, other Merchants, and WEEX personnel fairly, respectfully, and with integrity;
- Ensure that advertisements, including the advertised price and available quantity, are accurate before publication;
- Process payments, release Digital Assets, and respond to Users promptly, and only use Payment Methods displayed in the advertisement or otherwise supported by WEEX P2P;
- Refrain from cancelling orders without a legitimate reason or submitting malicious appeals, and attempt to communicate with the User through the Platform before initiating an appeal;
- Refrain from using “WEEX,” bank names, Payment Method names, or other restricted or misleading terms in your Platform username; and
- Communicate with Users through the Platform and refrain from directing Users to social media, messaging applications, face-to-face transactions, or other third-party communication channels.
- Ensure that all advertisement prices, quantities, transaction limits, Payment Methods, and transaction conditions are genuine, accurate, complete, executable, and consistent with the terms actually offered to Users.
- Refrain from Malicious Price Adjustment, false price display, misleading advertising, price manipulation, wash trading, market manipulation, unreasonable order cancellation, off-Platform solicitation, use of unauthorized Payment Methods, misuse of User information, submission of false evidence, or any other prohibited conduct specified in the WEEX P2P Merchant Violations and Enforcement Policy.
- Refrain from requesting or requiring a User to accept a price, exchange rate, transaction amount, fee, Payment Method, payment condition, or other term that differs from the information displayed in the applicable advertisement or confirmed in the applicable order.
- Refrain from publishing advertisements at prices that you do not genuinely intend, or are not reasonably able, to execute, including advertisements intended primarily to attract Users and subsequently require them to cancel an order or accept different transaction terms.
- Maintain sufficient liquidity, valid Payment Methods, adequate personnel, and reasonable operational capacity to fulfil active advertisements and orders.
- Promptly correct or remove any advertisement containing an obvious price, quantity, Payment Method, or transaction-condition error before an order is placed. Repeated errors, frequent order cancellations, or repeated failure to honour advertised terms may be treated as intentional or malicious conduct.
- Comply with the WEEX P2P Merchant Violations and Enforcement Policy and any warning, restriction, corrective action, remediation requirement, or other enforcement measure imposed by WEEX.
Merchant Conduct and Transaction Requirements
(a) Name consistency
All Payment Methods used by a Merchant must be registered in the same name as the identity verified with WEEX, unless WEEX has expressly approved another arrangement.
(b) Off-Platform transactions
Trading with Users outside the WEEX P2P Platform is strictly prohibited.
WEEX is not responsible for transactions privately arranged or conducted outside the Platform. Such transactions are carried out solely at the risk of the Merchant and the User.
(c) Personal contact information
You must not include personal contact information, social media accounts, messaging application details, telephone numbers, external websites, or other off-Platform contact details in advertisements, transaction terms, automatic replies, or communications with Users.
(d) Platform communication
You must communicate with Users through the communication functions provided by the Platform.
You must not require or encourage Users to communicate through third-party messaging applications, social media, telephone calls, face-to-face meetings, or other external channels.
(e) External links
You must not include external links in advertisements, transaction terms, automatic replies, or order chats, or otherwise direct Users to an external website or communication channel.
WEEX does not control or assume responsibility for external links, external communications, or off-Platform activities.
(f) Payment accounts
The use of unauthorized third-party payment processors, payment providers, rented accounts, purchased accounts, borrowed accounts, or accounts held in another person’s name is prohibited.
You must use only personal or corporate Payment Methods registered under your verified identity and permitted by WEEX.
(g) Split payments
Unless the User expressly requests and approves otherwise, fiat payment for one order must match the exact order amount and must not be divided across multiple transfers.
Partial transfers or multiple payments for one order are prohibited unless expressly agreed by the User and permitted under applicable Platform rules.
(h) Appeals
Where payment or the release of Digital Assets is not completed within the applicable order period, the Merchant may initiate an appeal and contact WEEX Customer Support.
The Merchant must provide all information and evidence reasonably requested by WEEX.
(i) Test payments
A Merchant must not send small test payments to a User’s Payment Method or financial account without the User’s prior consent.
Such conduct may result in restrictions or Merchant disqualification.
(j) Professional communication
Abusive, threatening, discriminatory, insulting, or disrespectful language is prohibited.
You must maintain professional conduct in all advertisements, order chats, appeals, support communications, and other interactions.
(k) Additional verification
Where reasonable concerns arise during a transaction, the Merchant may request additional identity or transaction verification from the User.
Where the User refuses to provide reasonably required information, the Merchant should contact WEEX Customer Support rather than independently taking actions that may place the User’s funds at risk.
(l) Frozen User accounts
Where a User reports that their Payment Method or financial account has been frozen after receiving funds from the Merchant, the Merchant must cooperate with WEEX and provide all required evidence and information.
(m) Frozen Merchant accounts
Where a Merchant’s Payment Method or account is frozen, the Merchant must promptly contact WEEX Customer Support and submit the information and evidence requested by WEEX.
(n) Assistance with investigations
Where a User’s Payment Method or receiving account is frozen following a transaction with the Merchant, the Merchant must actively cooperate with WEEX in identifying the relevant transaction and resolving the matter.
(o) Illegal funds
You must not engage in transactions involving illegal, stolen, fraudulent, sanctioned, or otherwise unlawful funds.
The source and intended purpose of all assets used in P2P transactions must be lawful and must not involve money laundering, terrorist financing, fraud, illegal gambling, sanctions evasion, or other criminal or prohibited activity.
(p) Consequences of illegal funds
Where you introduce illegal Digital Assets or fiat funds into WEEX or expose WEEX or Users to legal, regulatory, financial, or asset-loss risks, WEEX may immediately:
- Revoke your Merchant status;
- Restrict or permanently disable your P2P activities;
- Retain or deduct your Security Deposit;
- Freeze relevant assets or Account functions;
- Report the conduct to competent authorities or regulators; and
- Seek compensation for direct and indirect losses arising from your conduct.
You agree to indemnify WEEX for losses, damages, liabilities, claims, costs, and expenses arising from such conduct, to the extent permitted by applicable law.
(q) Intellectual property
All intellectual property rights relating to the Platform, including trademarks, logos, service marks, trade names, software, technology, and proprietary functions, are owned by WEEX or its licensors.
Nothing in this P2P Merchant Agreement grants you a right to use such intellectual property unless expressly authorized by WEEX in writing.
(r) Merchant content license
You grant WEEX a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, distribute, and adapt advertising materials, trademarks, logos, or other content that you provide for the purpose of operating, displaying, or promoting the Merchant Services.
(s) Verified payment identity
Merchants must ensure that all payments made or received through the P2P Platform are connected with Payment Methods that match the identity verified with WEEX, unless expressly permitted otherwise.
(t) Third-party User payments
Where a User attempts to make payment through an account that does not match the User’s verified identity, the Merchant may request that the User cancel the order.
Where payment has already been received from an unauthorized or identity-mismatched account, the Merchant may return the funds to the original sender and request cancellation of the order, subject to applicable Platform instructions.
(u) Order cancellation
WEEX may cancel, reject, suspend, or otherwise restrict an order where an identity mismatch, unauthorized Payment Method, fraud risk, compliance concern, or other material risk is detected.
Merchant Disqualification
(a) Grounds for disqualification
To maintain a secure, fair, transparent, and compliant P2P trading environment, WEEX may disqualify a Merchant for conduct including, but not limited to:
- Failing to cooperate with WEEX during an appeal, dispute, review, or investigation;
- Imposing hidden charges, unauthorized fees, or requiring Users to pay more than the amount stated in an advertisement;
- Using Payment Methods not held in the Merchant’s verified name or renting, buying, selling, lending, or borrowing Payment Methods or accounts for P2P transactions;
- Encouraging Users to communicate or trade outside the WEEX Platform;
- Mishandling, disclosing, sharing, selling, or misusing User information;
- Publishing or spreading false, misleading, malicious, or damaging information that may negatively affect Users or WEEX;
- Exploiting technical issues, Platform mechanisms, or unfair tactics to obtain an advantage;
- Using multiple or associated Accounts to manipulate transactions, monopolize the market, interfere with advertisements, or block other Users or Merchants;
- Receiving excessive negative feedback, poor ratings, or unresolved complaints;
- Using offensive, abusive, threatening, or disrespectful language;
- Participating in market manipulation, insider trading, price fixing, coordinated trading, or other activities that disrupt fair market conditions;
- Remaining inactive for extended periods or consistently maintaining insufficient trading activity;
- Maintaining a low order-completion rate, frequent disputes, excessive complaints, excessive cancellations, or slow response times;
- Submitting false, incomplete, or misleading information during the Merchant application or review process;
- Purchasing, obtaining, or using another User’s Account information;
- Using Payment Methods or accounts that have been restricted, prohibited, or blacklisted due to fraud, money laundering, or other serious violations; or
- Spreading malicious rumors or false information regarding WEEX through social media or other channels.
- Engaging in Malicious Price Adjustment, false price display, misleading price setting, price manipulation, or frequent and unreasonable price changes intended to obtain improper advertisement exposure, mislead Users, avoid honouring orders, interfere with other Merchants, or disrupt the normal operation of the P2P market.
- Publishing advertisements without genuine trading intent or repeatedly requesting Users to cancel orders because of market-price movements, pricing errors, insufficient liquidity, unavailable Payment Methods, or other circumstances attributable to the Merchant.
- Committing repeated or serious violations under the WEEX P2P Merchant Violations and Enforcement Policy or failing to complete corrective action within the period specified by WEEX.
(b) Assessment
WEEX may unilaterally determine whether a Merchant should be disqualified based on the nature, severity, frequency, duration, intent, impact, and risks of the conduct, together with the Merchant’s overall transaction data, historical trading conduct, advertisement and price-adjustment records, order-completion rate, cancellation rate, complaint and appeal records, previous warnings, cooperation with investigations, and corrective actions.
(c) Temporary or permanent disqualification
Merchant disqualification may be temporary or permanent. Where a Merchant is permanently disqualified, WEEX may permanently restrict the Merchant from applying for or recovering Merchant status and may permanently disable some or all P2P permissions and functions associated with the Merchant Account and associated Accounts.
(d) Serious violations
For serious or critical violations involving fraud, illegal funds, money laundering, market manipulation, fabricated transactions, misuse of User information, material User losses, threats to User safety, or significant legal or regulatory risks, WEEX may immediately suspend or terminate the Merchant’s participation without prior warning or a remediation period. The seriousness and risk level of a transaction or Merchant or User behaviour is determined unilaterally by WEEX at any time.
8. Merchant Violations and Enforcement
A Merchant who violates this P2P Merchant Agreement, the P2P Terms, the WEEX Terms of Use, the WEEX P2P Merchant Violations and Enforcement Policy, or any other applicable WEEX rule may be subject to enforcement action.
WEEX will determine the applicable enforcement measure based on factors including the nature, severity, frequency, duration, intent, and impact of the violation, together with the Merchant’s overall transaction data, historical trading conduct, order-completion rate, cancellation rate, complaint and appeal records, previous warnings, cooperation with investigations, and corrective actions.
Enforcement measures may include, without limitation:
- Issuing a written warning or corrective-action notice;
- Requiring the Merchant to complete corrective action within a specified period;
- Removing, hiding, suspending, or restricting one or more advertisements;
- Temporarily or permanently restricting advertisement or P2P transaction functions;
- Reducing advertisement exposure, transaction limits, Merchant benefits, or other Platform privileges;
- Cancelling, withholding, or recovering campaign rewards, rebates, subsidies, or Merchant benefits;
- Retaining, freezing, deducting, or applying part or all of the Merchant’s Security Deposit in accordance with applicable terms and law;
- Temporarily suspending or permanently revoking P2P Merchant status;
- Temporarily or permanently restricting the Merchant Account or associated Accounts;
- Requiring compensation for losses suffered by Users, WEEX, or third parties; and
- Reporting the matter to competent regulatory, judicial, or law-enforcement authorities where required or appropriate.
The specific categories of Merchant violations, first and subsequent enforcement measures, applicable restriction periods, and exceptions for serious or critical violations are set out in the WEEX P2P Merchant Violations and Enforcement Policy.
Unless otherwise stated in the WEEX P2P Merchant Violations and Enforcement Policy, ordinary violations may be handled through graduated enforcement. A first confirmed violation may result in a written warning, corrective action, advertisement restriction, or temporary restriction of relevant P2P functions. A repeated violation may result in increased restrictions, suspension or revocation of Merchant status, deduction of the Security Deposit, or permanent restriction of some or all P2P functions.
Serious or critical violations involving fraud, illegal funds, money laundering, fabricated transactions, market manipulation, wash trading, material User losses, misuse of User information, threats to User safety, or significant legal or regulatory risks may result in immediate Merchant disqualification and permanent restriction of P2P permissions without prior warning.
For Malicious Price Adjustment, the following specific measures apply:
- Upon the first confirmed occurrence, WEEX will assess the Merchant’s overall transaction data and historical trading conduct. Where the violation is confirmed, WEEX will issue a formal written warning to the Merchant by email. WEEX may also remove or restrict the relevant advertisement and require immediate corrective action; and
- Upon the second confirmed occurrence, WEEX will immediately revoke the Merchant’s P2P Merchant status and permanently freeze or disable all P2P permissions and functions associated with the Merchant Account.
Where Malicious Price Adjustment involves fraud, coordinated manipulation, multiple or associated Accounts, fabricated transactions, material User losses, a large number of affected Users, or deliberate market disruption, WEEX may impose the measures applicable to a second violation upon the first confirmed occurrence.
Deleting an advertisement, cancelling an order, ceasing trading activity, changing Account information, or voluntarily terminating Merchant status will not remove or reset a confirmed violation record. Repeated or continuous conduct may be treated as a subsequent violation even where it occurs through different advertisements, orders, Payment Methods, fiat markets, or associated Accounts.
While an investigation, dispute, or appeal is ongoing, WEEX may take temporary protective measures, including suspending advertisements, restricting P2P functions, freezing the Security Deposit or relevant assets, and requiring the Merchant to provide supporting information or evidence. Such temporary measures do not by themselves constitute a final determination that a violation has occurred.
A Merchant who disputes an enforcement decision may submit an appeal through the channel and within the period specified in the applicable notice. The Merchant must provide complete, accurate, authentic, and unaltered supporting evidence. Unless otherwise determined by WEEX, the applicable enforcement measure will remain effective while the appeal is under review.
WEEX may update the WEEX P2P Merchant Violations and Enforcement Policy from time to time by publishing an updated version on the Platform. Continued use of the Merchant Services after the updated policy becomes effective constitutes acceptance of the updated policy.
Warranties and Representations
In addition to the warranties and representations contained in the WEEX Terms of Use and other applicable terms, you represent and warrant that:
- You have read and are capable of understanding this P2P Merchant Agreement and agree to be legally bound by it;
- You understand and have independently assessed the risks associated with P2P transactions and agree to bear the risks arising from your own transaction decisions;
- You act independently when entering into P2P transactions and do not rely solely on statements, communications, or explanations provided by WEEX;
- You are not prohibited or restricted by applicable law, regulation, court order, or competent authority from participating in P2P transactions;
- You will not use the Merchant Services for illegal gambling, money laundering, fraud, extortion, data theft, terrorist financing, violent activity, or any other unlawful activity;
- You will not initiate, promote, assist, or participate in market manipulation, price manipulation, pump-and-dump activity, wash trading, front-running, insider trading, market distortion, or other abusive or unlawful market conduct;
- Where you register in your personal capacity, you are at least eighteen years old, have full legal capacity, and have authority to enter into this P2P Merchant Agreement;
- Where you register on behalf of a legal entity, that entity is duly established and validly existing, and you are authorized to act on and bind that entity;
- Your registration and use of the Merchant Services do not violate the laws of your country or region;
- You are the lawful owner of the Digital Assets held in your WEEX Account and the source of those assets is lawful;
- You comply with applicable anti-money-laundering, know-your-customer, counter-terrorist-financing, and sanctions requirements;
- You are not owned or controlled by, and do not act on behalf of, a person or entity subject to applicable sanctions;
- All funds used or received through the Platform are of lawful origin and are not connected with prohibited activity;
- You will cooperate with WEEX’s compliance checks, investigations, audits, User disputes, regulatory inquiries, and legal proceedings; and
- You will provide documents and information requested by WEEX within the period specified by WEEX. Failure to do so may result in suspension or termination of Merchant Services.
This P2P Merchant Agreement is prepared in English. Translations may be provided for convenience, but they may not always be complete or current.
In the event of a conflict between the English version and a translated version, the English version shall prevail, subject to applicable law.
Disclaimers
(a) Assumption of risk
You acknowledge the risks associated with P2P transactions and the Merchant Services and agree, except in cases of fraud, wilful misconduct, or other liability that cannot lawfully be excluded, to assume the risks and liabilities arising from your use of those services.
(b) P2P service limitations
You acknowledge and agree that:
- WEEX does not guarantee liquidity for any Digital Asset or fiat market;
- WEEX does not control market liquidity or the independent actions of Users or Merchants;
- WEEX may exercise rights available under this P2P Merchant Agreement, including modifying, cancelling, suspending, restricting, or reversing a transaction where permitted by applicable rules and law;
- Failure to comply with applicable transaction limits, Merchant requirements, or Platform rules may result in losses or restrictions;
- Manifest errors, technical failures, communication delays, transmission delays, order-processing delays, or failures may occur;
- P2P transactions involve price, counterparty, payment, fraud, compliance, banking, and operational risks;
- Buyers and Sellers are matched through the WEEX Platform and are generally required to complete identity verification;
- You use the P2P Service and any information, materials, or third-party content accessible through it at your own risk;
- WEEX primarily provides the Platform and technical functions that facilitate the Digital Asset transaction between Users;
- Payments may be final after completion unless otherwise required by applicable law or determined by WEEX under applicable Platform rules; and
- To the extent permitted by law, WEEX is not responsible for losses arising solely from a completed external fiat payment, a User’s or Merchant’s conduct, a financial institution’s action, or a transaction conducted outside the Platform.
Nothing in this P2P Merchant Agreement excludes or limits any liability that cannot lawfully be excluded or limited.
By registering as, applying to become, or continuing to act as a WEEX P2P Merchant, you confirm that you have read, understood, and agreed to this P2P Merchant Agreement.
