CFTC: Cash Bitcoin Purchases May Fall Under Futures Rules
The Commodity Futures Trading Commission (CFTC) indicates that paying the full price for Bitcoin may still subject a retail purchase to futures-style oversight. A preliminary interpretation states that declining financing does not exempt a qualifying trade from this framework when a covered offer applies, and neither actual delivery nor other statutory exceptions remove it from coverage. The CFTC announced the consultation on Oct. 5, with comments due by Dec. 14. Section 2(c)(2)(D) of the Commodity Exchange Act governs certain retail commodity transactions, including those offered on a leveraged basis. The CFTC suggests that a covered offer can apply to transactions even if the purchase is fully paid. For example, if a buyer declines financing for a Bitcoin purchase but does not receive actual delivery, the trade may still be subject to futures regulations. This interpretation emphasizes the relevance of financing terms for cash purchases and leveraged orders. The delivery analysis focuses on possession or control, requiring credentials like private keys for relevant wallets. The statutory delivery exception typically mandates actual delivery within 28 days. Even after delivery, the CFTC maintains anti-fraud and anti-manipulation authority.
