YZi Labs Writes to CEA Industries Board: Requests Clarification of False News and Full Disclosure of Director's Related Party Transaction

BlockBeats News, February 10th. YZi Labs issued a letter to the CEA Industries board stating that CEA Industries' claim of having a "secret agreement" with YZi Labs is entirely false. The board was well aware of the agreement, with legal advice provided by the law firm Winston & Strawn, and board members Alexander Monie, Hans Thomas, and the then-CEO of 10X Capital Namdar were fully involved. The so-called "secrecy" is merely a misleading statement to the public.

CEA's demand to terminate the Strategic Services Agreement (SSA) is equally absurd. YZi Labs already terminated the agreement on December 11, 2025, and notified the board in writing on December 13. The SSA did not involve any payments and did not affect the negotiation of the 10X Asset Management Agreement.

The board is attempting to use an "investigation" as a cover-up, masking their inaction regarding the known situation. YZi Labs urges the board to immediately clarify the misleading statements, fully disclose Hans Thomas' relevant related-party transactions, and effectively safeguard the interests of shareholders.
